Membership of the NPEL

There has been some confusion among residents regarding Company Membership and we would like to clarify the details and procedures.

Company Membership provides an entitlement to receive copies of accounts, notices of General and Annual General Meetings and to attend and vote on resolutions at those meetings. We encourage all eligible residents to become Members and do need to advise that there is small liability to contribute (not exceeding £5) to the assets should the Company be wound up.

In accordance with the Company’s Articles of Association, all Freeholders and Long Leaseholders of property within the Estate are eligible to become Members of the Company provided that their Rentcharge payments are up to date and there are no arrears. However, Membership is not automatic and whilst there is no charge for Membership, a formal application is required. It is very simple; all that is required is to check the bottom section of the Rentcharge demand headed: ‘Company Membership’. If this indicates that you are a Member then no further action is required. If it indicates that you are not a Member, and you would like to be, please just put a tick in the box and return the form to the Estate Office where upon your name will be added to the list of Members.

Please note that any Member who has failed to pay the Rentcharge for 90 days after the due date will be removed from the Members list and cannot become a Member again until all arrears have been paid and he has provided six months notice in writing of his desire to become a Member.

Any resident who wishes to check their status in respect of Membership at any time should check their latest Rentcharge Demand or contact the Estate Office.
